Standing corrections (added at publication, August 23, 2026). The statement that there had been no U.S. bank failure in August no longer holds — Tioga-Franklin Savings Bank, Philadelphia, failed on August 21, the fifth of 2026. Of the three OCC approvals recorded here, none had closed at the time of writing; Banner / Pacific Financial is now expected to close on September 1.
Materiality thesis. Nothing new was announced today. Four things nevertheless changed on the record, and all four had already happened — one of them in April. The day's story is not a transaction; it is that a regulator's own bulk activity file, read backwards against deals already on the books, corrected more of the picture than a week of forward-looking discovery has.
A completed Iowa acquisition has been on the record as pending since April. Midwest Heritage Bank, F.S.B. — the banking arm of Hy-Vee — completed its acquisition of Carroll-based Iowa Savings Bank on April 27, 2026. The Comptroller's own corporate activity record shows the combination consummated on that date; the acquirer's website has read "Welcome Iowa Savings Bank" since, and the two banks converted systems over the weekend of 19–June 22. Four branches and 33 employees, plus a trust division that gives Midwest Heritage an estate-planning and farm-management capability it did not previously have.
Three deals cleared their national-bank regulator inside the last three weeks.
In each of the three, the approval in hand is the OCC's alone. Holding-company, NCUA and shareholder approvals are still outstanding. None of the three has closed.
The credit-union purchase of a bank is now legible in the OCC's filing types, and that is a monitoring insight rather than a deal insight. Landmark's acquisition of American National Bank-Fox Cities reached the OCC as a "215a-3: Mergers with Non-Bank Affiliates" filing paired with a "5.53 Substantial Change in Assets" filing. Neither phrase contains the words "credit union". Anyone watching this segment by keyword — and most observers do — will not see these transactions until the parties choose to talk about them. The structural signature is visible weeks earlier.
Two of the three approvals came 46 and 48 days after the application was received. NexTier and Coastal Carolina both filed on June 18 and were approved on 6 and August 3. Against the OCC's stated ambition to decide complete applications within 120 days, community-bank combinations without a comment-period contest are currently clearing in roughly half that. For a board weighing announcement timing against a fourth-quarter close, that is a planning number.
The merger-of-equals structure is doing real work in South Carolina. Coastal Carolina and Beacon are combining at a 0.736 exchange ratio into a $2.2bn franchise spanning two states' coastal markets — the third-largest publicly traded bank holding company headquartered in the state. Sub-$1.5bn banks in crowded coastal deposit markets are increasingly choosing partnership over sale, and directors at similarly sized institutions should be asking which of those two conversations their own board is actually having.
Quiet, and verified quiet. The OCC's digital-asset licensing roster is unchanged at 12 pending applicants for a second day, checked in both directions — nothing added, nothing disappeared. No new OCC corporate decision since #1385. The Federal Reserve published no banking-application notice on 18 or August 19, and its H.2A release has stood unchanged since August 14 for a fifth consecutive day. The NCUA has recorded no conservatorship, liquidation or assisted resolution since August 6. There has been no U.S. bank failure in August.
Santander / Webster Financial closes tomorrow, August 20 — $12.3bn, with Webster holders receiving $48.75 in cash and 2.0548 Santander ADSs per share. All three regulators have cleared it: the Federal Reserve on August 4, the OCC on June 12, the European Central Bank on July 21. On completion Santander's U.S. platform moves to roughly $327bn in assets.
Also open: FS Bancorp / Pacific West Bancorp, approved by the Federal Reserve and awaiting a Pacific West shareholder vote, guided to a third-quarter close; and Coastal Bend / First National Bank in Port Lavaca, approved and not yet completed.
