Standing corrections (added at publication, August 23, 2026). Santander’s acquisition of Webster Financial, described here as scheduled for August 20, completed on August 20. The 2026 U.S. bank failure total is now five — Tioga-Franklin Savings Bank failed on August 21.


Materiality thesis

No new U.S. bank, holding company, credit union or charter transaction reached the record today — a quiet day verified rather than assumed. The day's substance is in what the paperwork revealed about a deal already on the board: the merger agreement behind yesterday's $448.1mm HomeTrust–Blue Ridge announcement was filed overnight, and it settles a structural question the press release left open. The week's real event is two days away — Santander's $12.3bn acquisition of Webster is scheduled to close Thursday.


1. Bank & holding company

HomeTrust / Blue Ridge — the agreement lands, and it is cleaner than the announcement suggested.

Fact. Blue Ridge Bankshares filed its Form 8-K on the transaction, attaching the merger agreement executed August 16 and announced the following morning. The structure is disclosed in full: a merger subsidiary merges into Blue Ridge, Blue Ridge then merges into HomeTrust, and immediately following that, Blue Ridge Bank, N.A. merges into HomeTrust Bank. The filing also carries a $18.0mm termination fee, an outside date of August 16, 2027, warrant-conversion mechanics with a September 19 election deadline, and voting agreements from every director on both sides.

Interpretation. The bank-level merger is contemporaneous, not deferred — which matters more than it sounds. Announcements of holding-company acquisitions routinely leave bank consolidation to a later, unstated date, and the gap between the two is where integration risk and conversion cost actually live. Here there is no gap. Directors reading this deal should note the contrast with HBT Financial's acquisition of Tri-County a week earlier, where the bank merger explicitly follows "at a time to be determined": two deals that read identically in a headline, with materially different execution profiles.

Lifecycle. Announced (17 Aug 2026) → regulatory applications → dual shareholder votes → close expected early Q1 2027.

Santander / Webster — closing Thursday.

Fact. All approvals are in: OCC June 12, ECB July 21, Federal Reserve August 4. Closing remains stated for August 20. $12.3bn aggregate; Webster holders receive $48.75 in cash plus 2.0548 Santander ADSs per share.

Interpretation. This is the largest completion in the register's coverage window and the clearest current datapoint on approval timelines for a foreign acquirer of a U.S. regional. Six and a half months from announcement to close, across three regulators on two continents, is fast by any recent standard.

Lifecycle. Approved — closing pending → expected Completed 20 Aug 2026.

Two Texas and Pacific Northwest deals remain approved but unclosed. Coastal Bend / First National Bank in Port Lavaca (Fed approval August 4) and FS Bancorp / Pacific West Bancorp (Fed approval August 4; shareholder meeting held August 13, result not yet public; closing targeted for the quarter ending September 30) are both in the window between approval and completion. Neither moved.


2. Bank–credit union

Nothing new. Gesa Credit Union's agreement to acquire Willamette Valley Bank, which resurfaced in trade coverage this week, was announced July 21 and is already on the record.


3. Credit union

No new conservatorship, liquidation, assisted resolution or voluntary merger. The most recent NCUA action of any kind remains the closure of African Diaspora Federal Credit Union on August 6.

Worth noting for anyone tracking the year's supervisory pace: reporting that eight credit unions have been placed in liquidation or conservatorship in 2026 counts regulatory actions, not institutions. The underlying number is six credit unions and eight actions — two were conserved and later resolved. Both framings are correct; they are not the same statistic, and the difference matters when comparing against prior years.


4. New charters & the banking perimeter

No movement. The OCC's digital-asset licensing roster stands at twelve pending applicants, unchanged, with no additions and no removals. No new OCC corporate decision has issued since World Liberty Trust Company's conditional approval on August 14.


5. Regulatory & policy

No Federal Reserve filing was published today, and none is scheduled for tomorrow. The Federal Register's public-inspection listing — the preview of documents filed for the next day's edition — contains no Federal Reserve, FDIC, OCC or NCUA document at all.

Five change-in-bank-control notices remain in their comment periods, of which the Harder Trusts / Odin Bancshares notice closes this week, on August 20.


6. What to watch
